Terms of Service

1. Agreement
By accessing the MIDI Scout website (midiscout.com), downloading, installing, or using the MIDISketch plugin ("Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software or website.
2. License Grant
2.1 Personal Use License
Upon purchase, we grant you a non-exclusive, non-transferable license to install and use MIDISketch on up to two (2) machines that you personally own or control. This license is for personal or commercial music production use.
2.2 Free Trial
MIDISketch offers a fully functional 7-day free trial. No payment information is required. The trial includes all features of the full version. After 7 days, a one-time license purchase is required to continue using the Software.
2.3 License Activation
Each license key supports activation on two (2) machines. Activation requires an internet connection to verify your license key against our activation server. If you need to transfer your license to a new machine, contact support@midiscout.com for a deactivation.
3. Restrictions
You may NOT:
- Redistribute, resell, sublicense, rent, or lease the Software or your license key.
- Share your license key with others or make it publicly available.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
- Modify, adapt, or create derivative works based on the Software.
- Circumvent, disable, or tamper with the license activation or verification system.
- Use the Software for any unlawful purpose.
4. Intellectual Property
4.1 Our Property
The Software, including its code, design, user interface, documentation, and all associated intellectual property, is and remains the exclusive property of MIDI Scout. Purchasing a license grants you the right to use the Software; it does not transfer ownership of any intellectual property.
4.2 Your Content
You retain full ownership of all MIDI files, audio projects, presets, and creative works you produce using MIDISketch. We claim no rights to your music or creative output. The Software processes your content locally on your machine and does not upload it to our servers.
5. Payment and Refunds
5.1 Pricing
MIDISketch is a one-time purchase. The current price is listed on the product page. Prices may change at any time, but changes will not affect licenses already purchased. All future updates are included at no additional cost.
5.2 Refund Policy
Because we offer a fully functional 7-day free trial, all sales are generally final. However, we may issue refunds at our discretion in cases of verified technical issues that prevent the Software from functioning on a supported system. Refund requests must be made within 14 days of purchase by contacting support@midiscout.com.
5.3 Payment Processing
All payments are processed securely by Stripe. We do not store your credit card information. By completing a purchase, you agree to Stripe's Terms of Service.
6. Software Updates and Early Access
6.1 Updates
We may release updates, patches, and new versions of MIDISketch at our discretion. Purchased licenses include all future updates at no additional charge. We are not obligated to release updates on any schedule, nor to maintain backward compatibility with older operating systems or DAW versions indefinitely.
6.2 Early Access & Breaking Changes
MIDISketch is currently in Early Access and under active, rapid development. Features, keyboard shortcuts, default behaviors, file formats, and user interface elements may change significantly between versions. Functionality that exists in one version may be modified, replaced, or removed in a subsequent update.
While every effort is made to preserve backward compatibility with saved session files (.ms), MPE files (.mpe), presets, and project data, we do not guarantee that files or saved states created in one version will be fully compatible with future versions. In rare cases, updates may cause previously saved sessions to load differently, lose certain parameter values, or require re-creation.
By using MIDISketch during Early Access, you acknowledge and accept that the Software is evolving and that breaking changes — while infrequent and avoided wherever possible — may occur. We strongly recommend keeping backups of important project files and exporting finalized MIDI before updating.
7. System Requirements and Third-Party Plugins
7.1 System Requirements
MIDISketch requires Windows 10/11, macOS 10.15+, or Linux. It is available as VST3, AU (macOS only), CLAP, and Standalone formats. We do not guarantee compatibility with every DAW, operating system configuration, or third-party plugin. The free trial exists so you can verify compatibility with your setup before purchasing.
7.2 Third-Party Plugin Hosting
MIDISketch allows you to load third-party VST3, AU, and CLAP plugins within it. We are not responsible for the behavior, stability, compatibility, or performance of any third-party plugin loaded inside MIDISketch. Crashes, audio glitches, or data loss caused by third-party plugins are the responsibility of their respective developers. We do not endorse, certify, or guarantee the compatibility of any third-party software.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF BUGS. WE DO NOT WARRANT THAT AUDIO RENDERED OR EXPORTED BY THE SOFTWARE WILL BE FREE OF ARTIFACTS, GLITCHES, OR INACCURACIES. USERS ARE RESPONSIBLE FOR REVIEWING ALL EXPORTED AUDIO BEFORE USE IN COMMERCIAL PRODUCTIONS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIDI SCOUT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, DAW CRASHES, PROJECT FILE CORRUPTION, OR INTERRUPTION OF CREATIVE WORK, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE.
WITHOUT LIMITING THE FOREGOING, MIDI SCOUT SHALL NOT BE LIABLE FOR ANY DAMAGE TO YOUR COMPUTER HARDWARE, OPERATING SYSTEM, DAW INSTALLATION, AUDIO INTERFACE, OR ANY OTHER SOFTWARE OR HARDWARE COMPONENTS ARISING FROM THE INSTALLATION, OPERATION, OR UNINSTALLATION OF THE SOFTWARE. YOU ACKNOWLEDGE THAT AUDIO PLUGINS OPERATE WITHIN COMPLEX HOST ENVIRONMENTS AND THAT INTERACTIONS BETWEEN THE SOFTWARE AND YOUR SYSTEM CONFIGURATION MAY PRODUCE UNEXPECTED BEHAVIOR.
10. Indemnification
You agree to indemnify, defend, and hold harmless MIDI Scout, its owners, and contributors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Software, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
We reserve the right to revoke your license if you violate these Terms, including but not limited to redistributing the Software, sharing license keys, or tampering with the activation system. Upon termination, you must uninstall all copies of the Software. Sections 4, 8, 9, 10, and 14 survive termination.
12. User Accounts
You may create a MIDI Scout account to manage your license, access downloads, and receive update notifications. You are responsible for maintaining the confidentiality of your account credentials. We are not liable for unauthorized access to your account resulting from your failure to secure your login information.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Software shall be resolved in the courts of Washington State.
14. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to server outages, internet disruptions, natural disasters, or actions of third-party service providers (Stripe, Clerk, Supabase, Vercel). In the event that our activation server is temporarily unavailable, previously activated licenses will continue to function offline.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated revision date. Your continued use of the Software after changes are posted constitutes acceptance of the revised Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
